Abstract:

Environmental, Social and Governance (ESG)/Corporate Social Responsibility (CSR) and green and ESG financings are increasingly important in many of our markets and lives. This presentation will introduce the importance of ESG/CSR and its relevance to the current finance market from the perspectives of financiers, investors and investees (including issuers and borrowers) and some of the key ESG concepts as they apply to green and ESG financings as well as some of the common features and issues that have arisen in public issues such as green bonds and private issues such as fund investments. We will examine both the current trends and regulations as well as how to deal with regulatory issues such as greenwashing. Using what is discussed, we will then examine some of the latest public green bond issues from a practical perspective.

Biography:

Jay Lee is a partner in K&L Gates’s Hong Kong office. He is a member of the Corporate practice area. His primary practice areas cover debt capital markets, securities, banking and financing areas (such as complex and structured loan facilities, leveraged financings, and acquisition financings), bond and debt restructurings, and green and ESG bonds and financings. He also practices fintech, tokenized debt securities, and other crypto transactions and regulations. His broad practice areas also stretch to private wealth management, asset management areas (e.g. direct investments, alternative investments, pre-IPO investments), and regulatory advice and investigation works and disputes for clients such as global, Chinese, and regional banks and securities firms, as well as asset management clients and corporates.

Choo Lye Tan is a partner in K&L Gates’s Hong Kong office.She focuses on corporate and financial law and has dealt with ESG, CSR and green issues on numerous fronts in acting for companies, investment funds and their directors, employees, suppliers and other stakeholders, from establishing policies and guidelines to create an ESG / CSR-conscious culture to dealing with investor queries, advising on regulatory enforcement and market standards and conducting investor due diligence for ESG investors and green funds, among other things.
